These Terms of Use ("Terms") govern your use of the Downword macOS application, the Downword website, documentation, support materials, and related services provided by MADNESS (FZE) ("MADNESS," "we," "us," or "our").

By downloading, installing, accessing, or using Downword, you agree to these Terms. If you do not agree, do not use Downword.

1. About Downword

Downword is a native Mac word processor that presents Markdown as a formatted document while keeping the underlying files portable. It includes color themes, workspaces, document formatting, and export. Its optional Writing assistant lets you send prompts, relevant conversation and document context, and selected attachments directly to a third-party AI provider or endpoint configured by you.

Downword is provided by:

MADNESS (FZE)
Block B - B26-062
Sharjah Research Technology and Innovation Park
Sharjah, United Arab Emirates

Email: [email protected]

2. Eligibility and Authority

You may use Downword only if:

  • You are legally capable of entering into a binding agreement;
  • You are at least the age of majority in your jurisdiction, or have the permission of a parent or legal guardian where permitted by law;
  • You have authority to accept these Terms on behalf of yourself or any organization you represent; and
  • Your use complies with these Terms and applicable law.

If you use Downword on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, "you" and "your" refer to that organization.

3. App Store Purchase and Apple Terms

Downword is made available through the Apple App Store. Your purchase, download, installation, and use of Downword are also subject to Apple's applicable terms, policies, and App Store rules.

Apple, not MADNESS, is responsible for processing payment and may administer refunds under its own policies. Unless required by applicable law or expressly stated otherwise, any refund request must be submitted through Apple.

Your use of Downword must comply with the Apple Media Services Terms and Conditions and any applicable App Store terms.

To the extent these Terms conflict with mandatory Apple requirements applicable to the app, those requirements will control to the extent of the conflict.

4. License Grant

Subject to your compliance with these Terms and payment of any applicable App Store purchase price, MADNESS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use Downword for your personal or internal business purposes on Apple-branded devices that you own or control, as permitted by Apple's applicable usage rules.

This is a license, not a sale of the software. MADNESS and its licensors retain all rights, title, and interest in and to Downword, including all intellectual-property rights.

5. License Restrictions

Except as permitted by applicable law or with our prior written consent, you may not:

  • Copy, modify, adapt, translate, or create derivative works of Downword;
  • Reverse engineer, decompile, disassemble, decode, or attempt to derive source code from Downword;
  • Remove, alter, or obscure proprietary notices, trademarks, or branding;
  • Rent, lease, sell, sublicense, distribute, publish, assign, or otherwise transfer Downword or access to it;
  • Use Downword to develop, train, benchmark, or improve a competing product or service, except where prohibited by applicable law;
  • Circumvent security measures, license controls, or technical restrictions;
  • Interfere with the operation, security, or availability of Downword or related services; or
  • Use Downword in a manner that violates applicable law, Apple's terms, or a third party's rights.

6. One-Time Purchase; Updates and Future Features

Downword is available as a one-time purchase, currently $29.99 $9.99 (Limited Time), through the Apple App Store. See the Downword listing for current purchase terms.

Unless we expressly state otherwise:

  • Your purchase does not guarantee that future major versions, paid features, third-party integrations, or new services will be provided without additional charge;
  • We may release updates, patches, improvements, changes, or discontinuations at our discretion;
  • Certain updates may be necessary to maintain compatibility, security, legal compliance, or functionality; and
  • Continued use of Downword may require you to install updates made available through the App Store.

We do not guarantee that Downword will remain compatible with all versions of macOS, all hardware configurations, all file formats, or all third-party providers.

7. Your Content

"Your Content" means documents, text, Markdown, prompts, attachments, images, files, instructions, and other materials you create, upload, select, submit, or process through the Downword app.

You retain ownership of Your Content. MADNESS does not claim any ownership rights in Your Content.

You are solely responsible for Your Content and for ensuring that you have all necessary rights, permissions, consents, and legal authority to use, copy, process, transmit, and disclose it through the Downword app and any third-party AI provider or other service you choose to use.

You must not use Downword to process or transmit content that:

  • Is unlawful, fraudulent, defamatory, threatening, abusive, or otherwise harmful;
  • Infringes, misappropriates, or violates another person's intellectual-property, privacy, publicity, confidentiality, or other rights;
  • Includes personal information, confidential information, trade secrets, or regulated data without appropriate authorization and safeguards;
  • Violates a third-party provider's terms, policies, usage restrictions, or safety requirements; or
  • Is intended to facilitate wrongdoing, exploitation, discrimination, violence, or illegal activity.

8. Local Storage and Your Responsibility

Downword edits documents at the locations you choose and stores app-managed chat history, attachment records, AI history, version history, and preferences locally on your Mac, separately from the Markdown files and not on MADNESS servers. Automatic deletion is set to Never by default; you can configure retention periods and cleanup in Preferences > Storage & Privacy. You are responsible for:

  • Maintaining backups of your documents and data;
  • Securing your Mac, user account, files, backups, and network;
  • Managing access to documents stored on your device;
  • Reviewing and using Downword's local data-clearing controls where appropriate; and
  • Understanding that deleted local data may remain in backups, caches, synchronized folders, or other device-level copies.

MADNESS is not responsible for loss of documents, chat history, version history, attachments, preferences, or other local data caused by device failure, deletion, synchronization, backup behavior, software conflicts, malware, unauthorized access, or other circumstances outside our reasonable control.

9. AI Features and Third-Party Providers

A. Your Choice to Use AI

The Downword app's Writing assistant is optional. Writing, formatting, workspace organization, and export do not require an AI provider. When you submit an AI request, the app sends your prompt, selected document context, chat context, and attachments directly to the AI provider or endpoint that you select or configure. Provider usage fees are separate from the Downword purchase price.

MADNESS does not receive this content. MADNESS does not operate the AI models used through these integrations and does not control how an independent provider processes, stores, retains, reviews, secures, trains on, or deletes information submitted to it.

B. Your Provider Account and API Keys

You are responsible for:

  • Creating and maintaining any required third-party AI-provider account;
  • Obtaining and protecting API keys;
  • Paying any provider charges, usage fees, or other costs;
  • Selecting appropriate models and endpoints;
  • Confirming that your intended use complies with the provider's terms; and
  • Reviewing the provider's privacy, retention, security, and training practices.

API keys are sensitive credentials. Do not share them with others or include them in documents, prompts, screenshots, support emails, or public content.

C. Custom and Local Endpoints

Where the Downword app allows you to configure a custom endpoint, you are responsible for ensuring that the endpoint is trustworthy, secure, properly configured, and authorized to receive the information you send.

Ollama uses http://localhost:11434 by default. The app's Connection settings allow you to explicitly enable unencrypted HTTP connections. Unencrypted HTTP does not protect information in transit; only enable it for an endpoint and network you trust. MADNESS does not guarantee the availability, performance, compatibility, or security of any third-party or self-hosted endpoint.

D. No Guarantee of AI Output

AI-generated content may be inaccurate, incomplete, misleading, biased, offensive, non-unique, unavailable, or unsuitable for your purposes.

You must independently review, verify, edit, and approve all AI output before relying on it, publishing it, sharing it, or using it in any decision or work product.

Do not rely on AI output as a substitute for professional advice. In particular, do not use AI output as the sole basis for medical, legal, financial, employment, insurance, housing, educational, safety-critical, emergency, or other high-impact decisions.

We do not guarantee that AI output will be correct, original, non-infringing, confidential, secure, legally compliant, or fit for a particular purpose.

10. Attachments and File Processing

The Downword app may allow you to attach supported files to an AI request. File processing happens locally on your Mac and may involve extracting text, converting images, resizing images, creating normalized image copies, or other transformations necessary to prepare the file for the selected provider.

You are responsible for reviewing attachments and confirming that you are authorized to send them to the provider you selected.

Some file types, including scanned PDFs or unsupported formats, may not be accepted or may not be processed as expected. Attachment size, quantity, image, and text limits may change over time.

11. Remote Images

The Downword app allows remote images embedded in documents to load only after your permission for the current session or through a document setting.

When you permit remote images to load, the remote host (not MADNESS) may receive your IP address and ordinary connection information. You are responsible for determining whether to permit remote image loading and for understanding the privacy and security implications of doing so.

12. Prohibited Uses

You may not use the Downword app or website to:

  • Violate any law, regulation, court order, or third-party obligation;
  • Process content without the necessary rights, permissions, or consents;
  • Infringe intellectual-property, privacy, confidentiality, publicity, or other rights;
  • Circumvent AI-provider restrictions, rate limits, safety controls, account controls, or payment obligations;
  • Introduce malware, harmful code, or material intended to disrupt systems;
  • Interfere with the security or operation of the app, website, Apple services, AI providers, or other networks;
  • Conduct unlawful surveillance, fraud, harassment, impersonation, or deception;
  • Generate or distribute unlawful or harmful material; or
  • Use the app in a safety-critical environment where errors could cause death, personal injury, severe property damage, or other serious harm.

13. Intellectual Property

Downword, including the app software, website, documentation, interfaces, design, graphics, trademarks, logos, text, and other materials, is owned by MADNESS or its licensors and is protected by applicable intellectual-property laws.

"Downword" and related names, logos, and branding may not be used without our prior written permission, except as necessary to identify the product accurately.

You may provide feedback, suggestions, ideas, or recommendations about Downword. If you do, you grant MADNESS a worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any purpose without compensation or obligation to you.

14. Third-Party Services

The Downword app and website may interoperate with or link to third-party services, including:

  • Apple and the Apple App Store;
  • OpenAI;
  • Anthropic;
  • Google Gemini;
  • OpenRouter;
  • Ollama;
  • Custom AI endpoints selected by you;
  • Remote image hosts; and
  • Other websites or services linked from Downword.

Third-party services are not controlled by MADNESS. Your use of them is subject to their own terms, privacy policies, pricing, availability, and technical requirements.

MADNESS is not responsible for third-party services, including their content, outputs, availability, security, privacy practices, data retention, outages, pricing, account actions, or changes to their APIs.

15. Availability and Changes

MADNESS may change, update, suspend, limit, or discontinue any part of Downword at any time, including app features, website content, integrations, supported providers, supported file types, model options, and documentation.

MADNESS does not guarantee that the app or website will always be available, uninterrupted, error-free, secure, compatible, or free from harmful components. We may perform maintenance or make changes without notice where reasonably necessary.

16. Suspension or Termination

MADNESS may suspend or terminate your right to use Downword, to the extent technically possible and legally permitted, if we reasonably believe that:

  • You have violated these Terms;
  • Your use creates a security, legal, reputational, or operational risk;
  • We are required to do so by law, Apple, or another applicable authority; or
  • Continued provision is no longer commercially, technically, or legally feasible.

Termination does not affect rights or obligations that by their nature should continue, including intellectual-property provisions, warranty disclaimers, limitations of liability, indemnity obligations, and dispute provisions.

Because the Downword app stores all content locally on your Mac, termination or discontinuation of the app or a feature does not automatically delete your local documents. You remain responsible for exporting, backing up, and managing your local data.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Downword app and website are provided on an "as is" and "as available" basis.

MADNESS disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation.

Without limiting the above, MADNESS does not warrant that:

  • The app or website will meet your requirements;
  • Documents, files, chats, history, or settings stored locally on your Mac will not be lost or corrupted;
  • AI providers or AI features will be available, accurate, safe, or suitable;
  • AI output will be correct, unique, non-infringing, or fit for any purpose;
  • Third-party services will remain compatible with the app; or
  • Defects will be corrected.

Some jurisdictions do not permit certain warranty disclaimers. In those jurisdictions, the disclaimers above apply only to the extent permitted by law.

18. Limitation of Liability

To the maximum extent permitted by applicable law, MADNESS and its directors, officers, employees, contractors, licensors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, documents, use, or other intangible losses arising from or related to the Downword app, website, or these Terms.

To the maximum extent permitted by applicable law, the total liability of MADNESS arising out of or related to Downword or these Terms will not exceed the greater of:

  • The amount you paid to MADNESS for Downword during the twelve months before the event giving rise to the claim; or
  • USD $29.99.

This limitation applies regardless of the legal theory on which a claim is based and even if a remedy fails of its essential purpose.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including rights that may apply to consumers in your place of residence.

19. Indemnity

To the maximum extent permitted by applicable law, you will indemnify, defend, and hold harmless MADNESS and its directors, officers, employees, contractors, licensors, and affiliates from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • Your Content;
  • Your use of the Downword app or website;
  • Your use of AI providers, custom endpoints, or remote image hosts;
  • Your violation of these Terms;
  • Your violation of applicable law; or
  • Your violation of any third party's rights.

We may assume exclusive control of the defense of a claim for which you are required to indemnify us. If we do so, you agree to cooperate with our defense.

20. Changes to These Terms

MADNESS may update these Terms from time to time. Updated Terms will be posted on our website with a revised effective date.

If a change is material, we may provide additional notice where required by law. Your continued use of the Downword app or website after updated Terms become effective means that you accept the updated Terms, except where applicable law requires another form of consent.

21. Governing Law and Venue

These Terms are governed by the laws of the United Arab Emirates and the Emirate of Sharjah, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or Downword will be subject to the exclusive jurisdiction of the competent courts of Sharjah, United Arab Emirates.

If you are a consumer, this section does not deprive you of mandatory protections or rights available under the laws of your country of residence where those protections cannot lawfully be excluded.

22. Apple-Specific Terms

If you obtained Downword through the Apple App Store:

  • These Terms are between you and MADNESS, not Apple.
  • Apple has no obligation to provide maintenance or support services for Downword.
  • If Downword fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price in accordance with its policies. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Downword.
  • MADNESS, not Apple, is responsible for addressing claims relating to Downword, including product-liability claims, legal or regulatory claims, and claims arising under consumer-protection or privacy laws, subject to these Terms and applicable law.
  • If a third party claims that Downword infringes its intellectual-property rights, MADNESS, not Apple, will be responsible for the investigation, defense, settlement, and discharge of that claim, to the extent required by applicable law.
  • You must comply with applicable third-party terms when using Downword.
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.

23. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision is not a waiver of that provision.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

These Terms, together with the Privacy Policy and any applicable App Store terms, form the entire agreement between you and MADNESS regarding Downword.
